White-Label License Agreement

This License Agreement supplements our Terms of Service and applies whenever a Customer ("Tenant") operates a workspace under their own brand and custom domain on the LeadAssist AI platform ("Platform") provided by URBANEE — Egor Dvortsevoy ("Licensor").

1. Grant

The Licensor grants the Tenant a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to (a) access and use the Platform for the Tenant's own business, (b) present the Platform to the Tenant's end-users under the Tenant's brand, and (c) map the Tenant's domain to the Platform for the term of the subscription. No source code, database, model weights, or infrastructure access is granted.

2. License key

  1. Each Tenant receives one signed license key bound to their workspace identifier via HMAC-SHA256.
  2. The key is verified on every request. Requests without a valid signed key are refused and the tenant sees a "License blocked" screen.
  3. The Licensor may rotate a key at any time in response to suspected compromise.

3. Kill-switch

The Licensor operates a kill-switch that can suspend, disable, or cancel any tenant workspace remotely and immediately. Grounds include: non-payment, license key misuse, violation of acceptable-use rules, court order, or credible abuse reports. When triggered, end-users see a suspension notice and the workspace stops accepting requests within five (5) minutes.

4. Branding rights

  • Tenant may replace the workspace name, logo, favicon, colors, legal owner, support email, and social preview.
  • Tenant may not remove or obscure lawful legal disclosures required by the jurisdiction of the Tenant's business (imprint, privacy, cookie notice).
  • Removal of "Made by LeadAssist" attribution is permitted only on plans where the feature flag hidePoweredBy is enabled.

5. Restrictions

  • No reverse engineering of the Platform, including scraping the DOM to reconstruct the UI in a competing product.
  • No reselling of the Platform to third parties as a standalone product.
  • No transferring, sublicensing, or assigning the license key or workspace access.
  • No sharing of tenant credentials outside the Tenant's own employees or contractors bound by equivalent confidentiality.

6. Ownership

All intellectual property in the Platform — including source code, database schema, server functions, edge functions, business logic, and design system — remains the exclusive property of the Licensor. This Agreement does not transfer any ownership interest. Tenant retains ownership of the data it uploads and of trademarks it supplies for branding.

7. Term & termination

The license runs for the paid subscription term. On termination all rights under this Agreement cease immediately: the license key is revoked, custom domain routing is removed, and the workspace is decommissioned per the retention schedule in the privacy notice.

8. Enforcement

Breach of Sections 4–5 permits the Licensor to (i) trigger the kill-switch, (ii) terminate the subscription without refund, and (iii) pursue injunctive relief and damages under German law.

9. Governing law

This Agreement is governed by the laws of the Federal Republic of Germany. Venue is Berlin.
