Terms of Service

Last updated: 9 July 2026. These terms govern your use of the LeadAssist AI platform ("Service") provided by URBANEE — Egor Dvortsevoy, Heylstraße 11, 10825 Berlin, Germany ("Provider", "we"). By creating an account, activating a workspace, or otherwise using the Service you ("Customer", "you") accept these terms.

1. Service

The Service is a hosted, multi-tenant SaaS platform for lead capture, appointment booking, and marketing automation. The Provider hosts and operates all infrastructure. The Customer does not receive any source code and no on-premise deployment is available.

2. Subscription & license

  1. Access is granted as a limited, non-exclusive, non-transferable, revocable license for the duration of an active paid subscription or trial.
  2. Each workspace is bound to a signed license key that authenticates the tenant on every request. Sharing or attempting to duplicate the key is prohibited.
  3. The Provider may suspend a workspace immediately if payment fails, if the license key is misused, or if the Customer violates these terms.

3. Acceptable use

  • No reverse engineering, decompiling, or attempting to extract source code of the Service or its UI.
  • No copying, cloning, rebranding, or reselling of the Service or any material part of its interface.
  • No use of the Service to send spam, unlawful content, or messages that violate the GDPR, ePrivacy Directive, or applicable anti-spam law.
  • No circumventing rate limits, plan quotas, or the license kill-switch.

4. Customer data

The Customer owns all data they upload to the Service (leads, bookings, campaign content). We process it as a data processor on the Customer's behalf under our privacy notice. On termination the Customer may export their data within 30 days; afterwards it is deleted per our retention policy.

5. White-label & custom domains

Customers on eligible plans may operate the Service under their own brand and custom domain. Ownership of the underlying software, algorithms, database schema, and the LeadAssist platform itself remains with the Provider at all times. The white-label license does not transfer any intellectual property in the Service.

6. Fees

Subscription fees are billed in advance and are non-refundable except where required by mandatory consumer-protection law. Prices, plan limits, and platform fees are published in the app and may be updated with 30 days' notice for existing subscribers.

7. Availability & support

We use commercially reasonable efforts to keep the Service available. We may perform maintenance windows with reasonable notice. No SLA is granted on trial or starter plans; higher tiers may include SLAs specified in the plan description.

8. Termination

Either party may terminate the subscription at the end of the current billing period. The Provider may terminate for cause immediately for violation of Section 3, non-payment beyond 14 days, or fraudulent or abusive activity.

9. Warranty & liability

The Service is provided "as is". To the maximum extent permitted by law the Provider disclaims all implied warranties. Liability is limited to the fees paid in the 12 months preceding the incident, except for damages that cannot be limited by law (intent, gross negligence, personal injury).

10. Governing law

These terms are governed by the laws of the Federal Republic of Germany. Exclusive venue for merchants is Berlin, Germany.
